Halka arz, bir şirketin hisselerinin ilk defa halka satışa sunulmasıdır. Şirketin sermayesini artırmak, finansman sağlamak, tanınırlığını yükseltmek ve hisse likiditesini artırmak gibi amaçlarla yapılabilir. Aynı zamanda şirketin değerinin belirlenmesi ve şeffaflığının artması için de önemlidir.

Halka arz almak için öncelikle bir yatırım hesabı açmanız gerekir. Yatırım hesabı, bankalar veya aracı kurumlar tarafından sunulan bir hizmettir. Yatırım hesabınızı açtıktan sonra, arz edilecek şirketin bilgilerini inceleyebilir, talep formunu doldurabilir ve talep ettiğiniz hisse miktarını belirleyebilirsiniz. Halka arz süreci, talep toplama, fiyat belirleme ve hisse dağıtımı aşamalarından oluşur. Talep toplama aşamasında, yatırımcılar istedikleri hisse miktarını ve fiyat aralığını belirtirler. Fiyat belirleme aşamasında, şirket ve aracı kurum taleplere göre bir fiyat belirler. Hisse dağıtımı aşamasında ise, yatırımcılara talep ettikleri hisselerin tamamı veya bir kısmı tahsis edilir.

Arz kazancı, Arz edilen hisselerin piyasa fiyatının arz fiyatından yüksek olması durumunda elde edilen kârdır. Halka arz kazancı, yatırımcının aldığı hisse miktarına ve piyasa fiyatındaki değişime göre hesaplanabilir. Halka arz kazancı elde etmek için, yatırımcının arz edilen hisseleri satın alması ve piyasa fiyatının yükselmesini beklemesi gerekir. arz kazancının büyüklüğü, şirketin performansına, sektörün durumuna, piyasanın genel eğilimine ve talep-fiyat dengesine bağlıdır.

Halka Arz Nasıl Alınır? 2023-2024

Halka arz, bir şirketin hisselerinin ilk defa borsada işlem görmeye başlamasıdır. arz, şirketin büyümesi, tanınırlığı ve prestiji için önemli bir adımdır. Halka arz sürecinde, şirketin değeri, hisse fiyatı, talep toplama yöntemi, arz edilecek hisse oranı gibi konular belirlenir. Arz süreci aşağıdaki adımları içerir:

  1. Halka arz kararı: Şirket yönetimi, arz olup olmayacağına karar verir. Bu kararda, şirketin finansal durumu, büyüme planları, sektördeki konumu, rekabet avantajları gibi faktörler etkili olur.
  2. Halka arz danışmanı seçimi: Şirket, arz sürecini yönetecek bir yatırım bankası veya aracı kurum seçer. Bu kurum, şirketin değerlemesini yapar, hisse fiyatını belirler, talep toplama yöntemini seçer, halka arz tanıtımını yapar ve borsaya kaydını sağlar.
  3. Halka arz izni: Şirket, arz için Sermaye Piyasası Kurulu’ndan (SPK) izin almak zorundadır. SPK, şirketin finansal tablolarını, faaliyet raporlarını, arz prospektüsünü ve diğer belgeleri inceler ve uygun görürse izin verir.
  4. Talep toplama: Arz edilecek hisseler için talep toplanır. Talep toplama yöntemi olarak sabit fiyat veya fiyat aralığı yöntemleri kullanılabilir. Sabit fiyat yönteminde, hisse fiyatı önceden belirlenir ve talep edenler bu fiyattan hisse alabilirler. Fiyat aralığı yönteminde ise, hisse fiyatı bir aralık içinde belirlenir ve talep edenler bu aralıkta teklif verebilirler. Talep toplama süresi genellikle bir haftadır.
  5. Hisselerin tahsisi: Talep toplama sonucunda, hisseler talep edenlere tahsis edilir. Tahsis oranı, talep edilen hisse sayısının arz edilen hisse sayısına bölünmesiyle hesaplanır. Tahsis oranı %100’den küçükse, talep fazlası vardır ve herkese istediği kadar hisse verilemez. Bu durumda, hisseler kura veya başka bir yöntemle dağıtılır. Tahsis oranı %100’e eşit veya büyükse, talep yetersizdir ve herkese istediği kadar hisse verilebilir.
  6. Borsaya kayıt: Hisseler tahsis edildikten sonra, şirketin hisseleri borsaya kaydedilir ve işlem görmeye başlar. Borsada işlem gören hisselerin fiyatı, piyasadaki arz ve talebe göre belirlenir.

Halka arz süreci, şirket için önemli bir fırsat olduğu kadar bir sorumluluktur da. Şirket, halka açıldıktan sonra daha fazla denetime tabi olur, kamuya açık bilgi vermek zorundadır ve paydaşlarının beklentilerini karşılamak için performansını arttırmak zorundadır.
